Terms of Service

1. Agreement
By creating an account or using CleanerNest (“the Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
These terms form a legal agreement between you (“you”, “the customer”) and CleanerNest (“we”, “us”). These terms are governed by the laws of England and Wales.
2. The Service
CleanerNest is a software-as-a-service (SaaS) platform that provides scheduling, invoicing, team management, and client management tools for UK domestic cleaning businesses.
We reserve the right to modify, update, or discontinue features of the Service at any time. Where a change materially affects your use of the Service, we will give you reasonable notice.
3. Accounts
You must be at least 18 years old and have the legal authority to enter into a binding contract to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You agree to provide accurate, complete, and up-to-date information when creating your account and to update it promptly if it changes.
You may invite team members (cleaners and managers) to your account. You are responsible for ensuring that your team members comply with these Terms.
4. Subscription and payment
Free trial
New accounts receive a 30-day free trial. No payment method is required to start the trial. At the end of the trial period, your account will require an active subscription to continue accessing the Service.
Subscription fee
The current subscription fee is £19 per month (inclusive of VAT where applicable), billed monthly. This is a flat-rate fee for up to 15 cleaners. We reserve the right to change pricing with 30 days’ notice to existing subscribers.
Billing
Payments are processed by Stripe. By providing your payment details, you authorise us to charge your payment method on a recurring monthly basis. If a payment fails, we will notify you and may suspend access to the Service until payment is resolved.
Cancellation
You may cancel your subscription at any time through the Billing section of your account. Cancellation takes effect at the end of your current billing period. We do not offer refunds for partial months.
5. Acceptable use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Process data relating to individuals without a lawful basis under UK GDPR
- Attempt to gain unauthorised access to any part of the Service or another user's account
- Introduce malware, viruses, or other harmful code
- Use automated means to access the Service in a manner that exceeds reasonable usage
- Resell, sublicense, or otherwise make the Service available to third parties without our written consent
6. Your data
You retain ownership of all data you enter into the Service, including client records, job information, and invoices. You grant us a limited licence to store, process, and transmit that data solely to provide the Service to you.
You are the data controller for your clients’ personal data within the Service. You are responsible for ensuring you have a lawful basis under UK GDPR for collecting and processing that data, and for informing your clients about how their data is used.
We process your data as a data processor on your behalf. Our full privacy practices are described in our Privacy Policy.
7. Invoicing and VAT
CleanerNest provides tools to generate and send invoices on your behalf. You are responsible for ensuring that invoices you send comply with HMRC requirements, including correct VAT treatment, accurate amounts, and valid invoice numbering.
CleanerNest does not provide tax advice. If you are unsure whether you should be charging VAT, consult a qualified accountant or HMRC.
8. Availability and uptime
We aim to provide a reliable service but do not guarantee 100% uptime. The Service may be unavailable occasionally for maintenance, upgrades, or due to circumstances beyond our control. We will endeavour to carry out scheduled maintenance outside of peak hours.
We are not liable for any loss arising from Service downtime or interruption.
9. Limitation of liability
To the maximum extent permitted by law, CleanerNest’s total liability to you for any claims arising under or in connection with these Terms shall not exceed the amount you paid to us in the three months preceding the claim.
We are not liable for any indirect, consequential, incidental, or special damages, including but not limited to loss of profits, loss of data, or loss of business opportunity, even if we have been advised of the possibility of such damages.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded or limited by English law.
10. Intellectual property
CleanerNest and all related software, designs, and content are owned by us or our licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Service during your subscription period.
You may not copy, modify, distribute, sell, or lease any part of the Service, or attempt to reverse-engineer or extract source code.
11. Termination
Either party may terminate this agreement at any time. You may do so by cancelling your subscription. We may do so immediately if you breach these Terms, engage in fraudulent activity, or act in a way that we reasonably believe causes harm to other users or to us.
On termination, you will retain access to your data for 30 days, after which it will be deleted in accordance with our Privacy Policy. Invoice records required for HMRC compliance may be retained for up to 7 years.
12. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will notify you by email at least 14 days before they take effect. Your continued use of the Service after that date constitutes acceptance of the updated Terms.
13. Governing law
These Terms are governed by the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
